Terms of Service

These Terms govern your use of the website digitalbiz360.com and the Agency Cockpit application (together, the “Services”), provided by DIGITAL BIZ 360, Shop no. 25, Crystal Apartment, Near Hill Park, Next to Amazing Kids School, Off SV Road, Jogeshwari West, Mumbai 400102 (“Digital Biz 360”, “we”, “us”). By using the Services, you agree to these Terms. If you use them for a business, you confirm you are authorised to accept these Terms for that business.

1. The Services

Agency Cockpit is a reporting and workflow tool. It brings data from connected marketplace seller accounts into one dashboard, generates reports and alerts, and lets authorised users approve suggested actions. Features may change as we improve the Services.

2. Signed agreements

If you have a signed service agreement or accepted proposal with Digital Biz 360, it applies alongside these Terms. Where the two conflict, the signed agreement prevails.

3. Accounts

• The Services are for business use by people aged 18 or over.
• Keep your login details confidential. You are responsible for activity under your account.
• Tell us immediately at sales@digitalbiz360.com if you suspect unauthorised access.
• Account owners decide which users can see their brand’s data and can remove users at any time.

4. Connecting marketplace accounts

• You may connect only seller accounts you own or are authorised to manage.
• By connecting an account, you authorise us to access its data and, where you approve it, to take actions on it on your behalf.
• Marketplaces control their own systems and may change or limit access at any time. We are not responsible for gaps or delays caused by a marketplace.
• You remain responsible for following each marketplace’s seller policies.

5. Suggestions and approvals

Agency Cockpit may use automated tools, including AI, to suggest actions such as restocks or ad changes. Suggestions are for guidance only. No action is carried out on a marketplace account until an authorised user approves it, and the approving business is responsible for approved actions. We do not guarantee any sales, ranking or profit outcome.

6. Fees

• For brands on a Digital Biz 360 account management plan, Agency Cockpit is included unless your agreement says otherwise.
• Standalone use is charged as per the quote or order form you accept.
• Fees exclude GST and other applicable taxes, and are payable within 15 days of invoice unless agreed otherwise.
• We may pause access if invoices stay unpaid after written notice.
• We will give at least 30 days’ notice of any price change.

7. Acceptable use

You must not:

• Use the Services for anything unlawful or against any marketplace’s policies.
• Copy, resell or reverse engineer the Services, or try to access their source code or systems.
• Share your login with anyone outside your authorised users.
• Use buyer data from the Services to contact buyers for marketing, or for any purpose other than fulfilling their orders.
• Upload malware or try to disrupt the Services.

8. Your data

You own your business data and the marketplace data from your accounts. You permit us to process it only to provide the Services to you. Our Privacy Policy explains how we handle personal data. After the Services end, you can request an export within 30 days, after which we delete the data as set out in the Privacy Policy.

9. Confidentiality

Each party will keep the other’s non-public business information confidential and use it only for the Services, except where the law requires disclosure.

10. Our intellectual property

Agency Cockpit, its software, design and content, and the Digital Biz 360 name and logo belong to us. You get a limited, non-transferable right to use the Services while your engagement or subscription is active. If you share feedback, we may use it to improve the Services.

11. Third-party services

The Services connect to third-party platforms such as marketplaces, email and WhatsApp. Their own terms apply to your use of them, and we are not responsible for their availability or actions.

12. Availability and support

We aim to keep the Services available at all times but do not guarantee uninterrupted access. We try to schedule maintenance outside business hours. Support is available at sales@digitalbiz360.com and +91 93214 85980 on business days.

13. Disclaimer

Figures in Agency Cockpit depend on data provided by marketplaces and may be delayed or differ from marketplace records. They are for business planning and are not financial, tax or legal advice. To the extent permitted by law, the Services are provided “as is”.

14. Limitation of liability

To the extent permitted by law, we are not liable for indirect or consequential losses, including lost profits, sales or data. Our total liability for any claim relating to the Services is limited to the fees you paid us in the 3 months before the claim arose.

15. Indemnity

You agree to compensate us for losses arising from your breach of these Terms, your misuse of the Services, or your violation of a marketplace policy or the law.

16. Ending the Services

• You may stop using the Services and disconnect your accounts at any time. Paid plans end as set out in your agreement, or with 30 days’ written notice.
• We may suspend or end your access with 30 days’ notice, or immediately if you seriously breach these Terms or a marketplace requires it.
• When the Services end, we revoke marketplace connections and handle your data as described in section 8 and our Privacy Policy.

17. Changes to these Terms

We may update these Terms. We will post the new version here with a new “Last updated” date and notify client users of significant changes. Continuing to use the Services after a change means you accept it.

18. Governing law

These Terms are governed by the laws of India. Courts in Mumbai, Maharashtra have exclusive jurisdiction over any dispute.
